Sponsor Advertising Terms
Sponsor Advertising Terms
Last updated: July 15, 2026. These terms apply to law firms purchasing sponsorship advertising ("Sponsors") — not to consumers using this website.
1. Parties; acceptance
These Sponsor Advertising Terms (the "Terms") are an agreement between the operator of calegalhelp.net ("Operator," "we," "us") and the law firm identified at checkout (the "Sponsor," "you"). You accept these Terms by checking the acceptance box at checkout, by paying a sponsorship fee, or by allowing your firm to be identified on sponsored pages — whichever happens first. The person accepting represents that they are authorized to bind the Sponsor.
2. What we provide — and what we do not
Operator provides advertising services only: identification of the Sponsor by name and address on agreed practice-area and city pages of this website, and delivery of consumer inquiries submitted through those pages. Operator is not a law firm, not a lawyer referral service, and not a lead broker. Operator does not evaluate, endorse, recommend, rank, vet, or select attorneys; does not screen consumer inquiries for merit; and does not practice law. Nothing in these Terms creates an attorney-client relationship between Operator and anyone, or a partnership, joint venture, franchise, or agency relationship between Operator and Sponsor.
3. No guarantees of any kind
Sponsor acknowledges and agrees that Operator makes no promises, representations, warranties, or guarantees whatsoever regarding: the number, frequency, or quality of consumer inquiries; search-engine rankings, impressions, clicks, or traffic (search engines are third parties Operator does not control); website availability or uptime; the accuracy of information consumers submit; or any revenue, clients, cases, or outcomes for Sponsor. Historical performance data shared with Sponsor is provided for information only and is not a projection or commitment. Sponsor is purchasing advertising placement, not results.
4. Fees; billing; market activation refunds
Sponsorship is billed as a flat monthly advertising fee in advance through Stripe, on a recurring subscription. The fee is never a percentage of legal fees and never contingent on Sponsor securing any client. Market activation policy: If your requested market and practice area cannot be activated, we will work with you to find an alternative market you approve or refund the fees paid for the market that was not activated. Contact [email protected] to arrange an alternative or request the refund. Otherwise, fees are non-refundable, including for partial months, except where required by law. Operator may change fees prospectively with at least 30 days' notice; continued subscription after the change takes effect is acceptance. If a payment fails and is not cured within 10 days, Operator may suspend or remove sponsored placements without liability.
5. Term; termination
Sponsorship runs month-to-month and renews automatically. Either party may terminate at any time, effective at the end of the current billing period, by cancelling the subscription or by written notice. Operator may suspend or terminate immediately, without refund of the current period, if: (a) Sponsor breaches these Terms or the joint-advertising agreement; (b) Sponsor's license to practice is suspended, revoked, or lapses in the sponsored state; (c) a bar authority, regulator, or court raises an objection to the sponsored advertising; or (d) Operator reasonably determines continued placement creates legal or regulatory risk. Upon any termination, Operator will remove Sponsor's identification from the website, and Except for the market activation refund in Section 4 and rights required by law, Sponsor's sole remedy for any removal is cancellation of future billing.
6. Sponsor's representations and warranties
Sponsor represents and warrants, on an ongoing basis, that: (a) it is a law firm in good standing, licensed to practice in every state where it sponsors pages; (b) all information it provides for its sponsored pages (name, address, licensure, practice descriptions) is accurate and not misleading; (c) it has reviewed and approved the content of its sponsored pages and accepts responsibility for that advertising content as contemplated by applicable rules of professional conduct (including California Rule 7.2 and its counterparts); (d) it will comply with all rules of professional conduct governing advertising and solicitation (including Rules 7.1–7.3 and state equivalents), and all applicable laws; (e) it will conduct its own intake, conflicts checks, screening, and engagement processes; and (f) it will handle consumer inquiries and personal information lawfully, including under the CCPA/CPRA and equivalent state privacy laws.
7. Content; license; approval
Sponsor grants Operator a non-exclusive, royalty-free license to display Sponsor's name, address, and provided descriptions on the sponsored pages during the sponsorship. Operator may edit page content for compliance, accuracy, or formatting; material changes to a Sponsor's identification block will be provided to Sponsor for review. Operator retains sole control of the website, its design, structure, and all non-sponsored content, and may modify any of it at any time.
8. Exclusivity (where purchased)
Where a sponsorship tier includes exclusivity, exclusivity means only this: Operator will not sell the same practice-area sponsorship within the defined market to another law firm while Sponsor's subscription is active and in good standing. Exclusivity does not restrict Operator's non-sponsored content, other practice areas, other markets, or anything outside this website — and it is not a promise of search-engine placement, inquiry volume, or freedom from competition generally.
9. Consumer inquiries; data
Consumer inquiries delivered to Sponsor are provided for the sole purpose of responding to the consumer's request. Upon delivery, Sponsor is an independent business responsible for its own use of that information. Sponsor shall not sell consumer information, use it for unrelated marketing, or share it with third parties except as needed to respond to the inquiry or as the consumer authorizes. Sponsor shall honor consumer privacy requests it receives and promptly notify Operator of any data incident involving delivered inquiries.
10. Indemnification
Sponsor will defend, indemnify, and hold harmless Operator and its owners, officers, employees, and contractors from and against any and all claims, demands, actions, investigations, penalties, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Sponsor's legal services or the attorney-client relationships Sponsor forms; (b) Sponsor's advertising content, intake practices, or communications with consumers; (c) Sponsor's breach of these Terms or of any representation in Section 6; (d) bar complaints, disciplinary proceedings, or regulatory actions concerning Sponsor; (e) malpractice or other professional-liability claims against Sponsor; and (f) Sponsor's use or handling of consumer information. Operator will promptly notify Sponsor of any indemnified claim and may participate in the defense with its own counsel.
11. Disclaimers; limitation of liability
THE WEBSITE AND ALL SPONSORSHIP SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW: (a) OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OPERATOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SPONSORSHIP WILL NOT EXCEED THE SPONSORSHIP FEES SPONSOR ACTUALLY PAID IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND SURVIVE TERMINATION.
12. Dispute resolution; arbitration; class waiver
The parties will first attempt in good faith to resolve any dispute informally within 30 days of written notice. Any dispute not so resolved shall be settled by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, seated in Riverside County, California, before a single arbitrator, with each party bearing its own attorneys' fees except as the arbitrator awards under applicable law. All disputes shall be brought individually; class, collective, and representative actions are waived to the fullest extent permitted by law. Either party may seek injunctive relief in court for misuse of confidential information or intellectual property. These Terms are governed by the laws of the State of California, without regard to conflicts rules.
13. Relationship to the joint-advertising agreement
Sponsors also execute a joint-advertising agreement covering content approval and responsibility for the advertising. If that signed agreement conflicts with these Terms, the signed agreement controls as to its subject matter; these Terms control everything else, including billing, disclaimers, liability limits, and dispute resolution. Payment alone does not activate sponsored pages — activation occurs after the joint-advertising agreement is signed and Sponsor approves its content.
14. General
Operator may update these Terms prospectively with at least 30 days' notice; continued sponsorship after the effective date is acceptance. If any provision is held unenforceable, it will be limited or severed and the remainder enforced. Sponsor may not assign these Terms without Operator's written consent; Operator may assign to a successor of the website or business. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms, together with the joint-advertising agreement and the checkout records, are the entire agreement regarding sponsorship and supersede prior discussions. Notices to Operator: via the contact page. Notices to Sponsor: the billing email on file.
